Ed and his team regularly support businesses which are transferring ownership. It may seem that this is typically a corporate law transaction, but UK labour rights are an important part of any business sale or purchase process. Ed works closely with the corporate partners at gunnercooke LLP.

Many UK labour rights will transfer when a business is sold. This is known as TUPE. Ed and his team have advised employers and employees on TUPE for many years.

Employment law aspects of a business sale involves reviewing the relevant contracts of employment, policies, procedures and business transfer agreements. We can advise on new contracts of employment following the sale or purchase procedure and any settlement agreements which may be needed as part of the overall deal.

We consider previous conflicts with employees and prepare a report for a purchaser about a business which it is considering purchasing. Our clients view this as a risk assessment, as buying any business involves inheriting a number of liabilities including employees.

Some employees may have previously raised Equality Act 2010 issues and some employees may have employment tribunal claims for acts which could have taken place before the ownership changes.
